TERMS OF SERVICE

UEU provides software that turns a single iPhone, iPad, or Android tablet into a local queue management system, including a customer kiosk, a staff dashboard, and an ambient display board served over your local network. Optional cloud features (a UEU account and Cloud Backup) require an internet connection and are governed by these Terms together with our Privacy Policy.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to install and use the App.

App License

The App is sold as a one-time purchase per device or branch. The license permits use of the local queue management features for your own business operations. Core local features continue to function without any ongoing subscription.

Cloud Subscriptions

Cloud Backup is offered as an optional paid subscription with storage tiers. Subscriptions renew automatically through the app store until cancelled, and you may manage or cancel them in your app store account settings. Cancelling a cloud subscription does not affect your one-time App license or your locally stored data.

Restrictions

You agree not to:

• Copy, resell, sublicense, or redistribute the App except as permitted by the app store terms
• Reverse engineer, decompile, or attempt to extract source code except where permitted by law
• Use the App to violate any applicable law or the rights of others
• Circumvent license verification or attempt to gain unauthorized access to our cloud services

All purchases and subscriptions are processed by the Apple App Store or Google Play. Pricing, billing, taxes, refunds, and cancellations are subject to the terms and policies of the app store through which you purchased. We do not process or store your payment card details.

You are responsible for:

• The device, network, and any peripherals (such as thermal printers) used to run the App
• The accuracy and lawful handling of any customer information you collect through the App
• Configuring access controls, PINs, and device-level lockdown appropriate to your environment
• Keeping your account credentials confidential if you use cloud features

You may use the App only for lawful queue management purposes. You must not use the App to harass individuals, collect data without an appropriate legal basis, or operate in any manner that could damage, disable, or impair the App or our cloud services.

Your use of the App is also governed by our Privacy Policy, which explains how information is collected, used, and protected. The App is local-first: customer queue data is stored on the host device and does not leave your local network unless you enable Cloud Backup. You are the controller of the customer data you collect, and you are responsible for complying with applicable data protection laws.

The App, its software, branding, and content (excluding your business data and uploaded branding) are owned by us or our licensors and are protected by intellectual property laws. These Terms do not grant you any rights in our trademarks or branding.

The App is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or compatible with every device, network, or printer.

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising out of or related to your use of the App. Our total liability for any claim relating to the App will not exceed the amount you paid for the App.

We may suspend or terminate access to cloud services if you breach these Terms. You may stop using the App at any time and uninstall it. Provisions that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will survive.

These Terms are governed by the laws of [Jurisdiction], without regard to its conflict of law rules. Any disputes will be subject to the exclusive jurisdiction of the courts located in [Jurisdiction], unless otherwise required by applicable law.

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date above. Continued use of the App after changes constitutes acceptance of the updated Terms.
